Terms of Service

These Terms of Service ("Terms") are a contract between Jobflo LLC ("we", "us") and the organization that signs up for Jobflo Labs ("you"). "Tenant" means your organization's account in Jobflo Labs. By creating a Tenant, or by continuing to use Jobflo Labs after these Terms change, you agree to them. The Privacy Policy is part of this contract.

1. Who can agree

1.1 The person who signs up represents that they have authority to bind your organization. Your organization, not that person, is the party to this contract.

1.2 Jobflo Labs is a business tool. You may use it only for an organization's business, and everyone who uses your Tenant must be at least 18 years old.

1.3 We review signups and may decline one. Accepting a signup does not mean we have reviewed your business, your licenses, or your right to hold any particular data.

2. What Jobflo Labs is

2.1 Jobflo Labs lets your organization connect third-party services it already uses ("Connected Services"), retrieve and store records from them on a schedule you set, store files, build tools and pages on that data, and make it available to your users and to AI applications you choose to connect, such as Claude ("AI clients").

2.2 Jobflo Labs does not run an AI model of its own. It carries out the requests your users and your connected AI clients make, within the permissions your administrators set.

2.3 Jobflo Labs is not a medical device. It does not give medical, clinical, legal, or other professional advice, and it must not be the sole basis for a decision about a person's care, safety, housing, or employment.

3. Your Tenant and your users

3.1 You choose a subdomain at signup and may add a domain you control when your Plan includes that feature. Subdomains are assigned first come, first served. We may refuse or reclaim a subdomain or domain that infringes someone's rights, impersonates another party, or is reserved. A subdomain you release may not become available to others right away.

3.2 Your administrators invite and deactivate your users, assign roles, and grant permissions. We do not manage your users for you. You are responsible for every action taken through your Tenant, including an action an AI client takes with your user's authorization.

3.3 You must keep sign-in credentials confidential and tell us promptly at hello@jobflolabs.com if you believe an account or access token has been compromised. Jobflo Labs offers passkeys and authenticator apps to every user.

4. Trial, Plans, and payment

4.1 A new Tenant starts on a free trial of the length we show you. We do not take a card for the trial. When the trial ends without a subscription, your Tenant becomes unavailable until you subscribe to a Plan; Tenant Data is not deleted at that time (see Section 13).

4.2 Plans ("Plans") are billed through Stripe monthly or yearly, in advance, and renew automatically for the same period until canceled. Prices, limits, and features are shown in the product before you subscribe. Your subscription keeps its price until you change Plans.

4.3 Each Plan sets usage limits ("Limits"). At a Limit you cannot add more until you upgrade or reduce usage; nothing already created is disabled or deleted because you reached a Limit. You may not move to a Plan whose Limits you currently exceed. A change of Plan takes effect when you make it, with fees prorated.

4.4 If a payment fails, Stripe retries it and we show your administrators a notice in the product. Your Tenant stays available while the payment is retried. If the retries fail, the subscription ends and your Tenant becomes unavailable until you subscribe again. We do not delete Tenant Data because a payment failed.

4.5 You may cancel in the product. Cancellation takes effect at the end of the current billing period, and you may resume before then. Fees already paid are not refundable, except where the law requires a refund or these Terms say otherwise. Taxes are added where they apply.

4.6 Referral discounts, promotion codes, and referral credits follow the conditions stated in the offer. A person or business that refers customers to us under a commission agreement (a "Partner") is also bound by that agreement.

5. What we do

5.1 We operate Jobflo Labs, protect it with the safeguards in Section 5.4 and the Privacy Policy, and use commercially reasonable efforts to keep it available. We do not promise uninterrupted or error-free operation, and we give reasonable notice of planned maintenance when we can.

5.2 We keep database backups for disaster recovery. Backups are not a substitute for your own copy of records you cannot afford to lose, and we do not promise a particular recovery point or recovery time.

5.3 We may change, add, or retire features. If we retire a feature your Tenant relies on, we give reasonable notice. Features we label as beta or preview are provided as-is and may change or end without notice.

5.4 Security. We maintain administrative, technical, and physical safeguards designed to protect Tenant Data against unauthorized access, use, disclosure, alteration, and loss. They include encryption in transit and at rest, separation of each Tenant's data from every other Tenant's, strong sign-in for our own administrators, and production access limited to the people who operate the service. On reasonable request we answer security questionnaires about these safeguards.

5.5 Security incidents. If we discover unauthorized access to, or acquisition, use, or disclosure of, Tenant Data in our systems or our service providers' systems, we notify your administrators without unreasonable delay, tell you what we know and the steps we are taking, update you as we learn more, and cooperate reasonably with any notice you must give. Where a business associate agreement applies, its notice terms also apply. Where a Connected Service's terms require it, you authorize us to notify that service's provider of an incident involving data from that service; those notices contain no protected health information. A notice is not an admission of fault.

5.6 Service providers. We use the providers listed in the Privacy Policy to host and run Jobflo Labs. Each is bound by a written agreement that limits its use of the data to providing services to us and requires appropriate security, and, where it may handle protected health information, a business associate agreement. We remain responsible for their work. We email your administrators before we add a provider that will process Tenant Data, at least 15 days ahead when we can. If you object on reasonable data-protection grounds and we cannot resolve it, you may end this contract and receive a prorated refund of prepaid fees for the unused term.

6. Your data

6.1 You own the records, files, page content, connection settings, and everything else you or your users put into your Tenant or that we retrieve on your instructions ("Tenant Data"). You grant us a non-exclusive license to host, process, back up, display, and transmit Tenant Data solely to provide, secure, and support Jobflo Labs for you, as you instruct, and as the law requires.

6.2 What you build is yours. You design and manage your tables, connections, event listeners, pages, and AI clients, and you decide what they collect, on what schedule, and who may access it. You choose which data each connection and event listener captures and which fields you map into your tables, and you are responsible for mapping only the data you need. You are responsible for that content, its accuracy, and your right to hold it. We operate the service and the system records that run accounts, permissions, and billing; we do not decide what your tables contain and do not monitor Tenant Data for content. We are not responsible for compliance failures caused solely by your configuration or your users. We still protect the Tenant Data we store, as these Terms, the Privacy Policy, and any business associate agreement or data processing agreement between us require.

6.3 You represent that you have the rights, consents, authorizations, and licenses needed to collect, store, process, and share Tenant Data through Jobflo Labs, including under the terms of each Connected Service and under the health, privacy, and employment laws that apply to you.

6.4 How we use Tenant Data. We use Tenant Data only to provide, secure, and support Jobflo Labs for you, to follow your instructions, and to comply with the law. We do not sell Tenant Data, use it for advertising, use it to train or improve artificial intelligence or machine-learning models, or combine it with other customers' data. We may use usage metrics that contain no Tenant Data content, such as counts of tool calls and storage used, to operate, bill for, and improve Jobflo Labs.

6.5 Where Tenant Data includes personal information under US state privacy laws, we process it as your service provider or processor, as the Privacy Policy describes. A data processing agreement is available on request at hello@jobflolabs.com.

6.6 If you send us feedback about Jobflo Labs, we may use it without obligation to you. Do not include protected health information or another person's private information in feedback.

6.7 We will not use your name or logo as a customer reference without your written consent.

7. Your responsibilities

7.1 We comply with the laws that apply to us as your service provider, and where a business associate agreement is in effect, we meet the HIPAA duties that apply to us as your business associate. You are responsible for your own compliance with every law that applies to your business and to Tenant Data, including privacy, health-information, consumer-protection, and employment law, industry rules, and your contracts.

7.2 Where Tenant Data includes information about your residents, patients, customers, clients, employees, or other people, you are the controller, covered entity, or equivalent for that information. You handle their notices, consents, access requests, and complaints. We process that information on your instructions.

7.3 You are responsible for giving your clients any notice about the information you keep about their systems, accounts, devices, properties, or services through Jobflo Labs that the law or your agreements with them require.

7.4 You are responsible for your users' conduct and for the permissions your administrators grant, including permissions granted to AI clients and access to any page you publish.

8. Connected Services

8.1 You hold the accounts and credentials you register for Connected Services, and you are bound by each service's terms. You are responsible for any charge, rate limit, suspension, or data-handling rule a Connected Service imposes on your use of it through Jobflo Labs.

8.2 Records retrieved from a Connected Service are as that service provided them; we do not verify them. A Connected Service is not our service provider, and its availability, changes, and data quality are outside our control. We may stop supporting a connection if its provider changes or ends access.

8.3 If you set up a Connected Service to send events to Jobflo Labs, those events are Tenant Data, and you are responsible for having the right to receive them.

9. AI clients

9.1 You decide which AI clients connect to your Tenant, which of your users authorize them, and which tools and records those users may reach. Every request an AI client makes runs under the authorizing user's permissions and is treated as that user's action.

9.2 You are responsible for what you make available to AI clients. Tenant Data an AI client reads is sent to that AI client's provider under your agreement with that provider. That provider is your provider, not ours, and we do not control what it does with the data. If the data includes protected health information, you are responsible for having the right to disclose it to that provider, including a business associate agreement where HIPAA requires one.

9.3 AI clients can act in ways you did not intend: they can read broadly, change records, and call tools repeatedly. We enforce the permissions and Limits your administrators set on every AI client request; you are responsible for the instructions you give and for reviewing what an AI client did. We are not responsible for the content, accuracy, or consequences of output an AI client produces from Tenant Data.

9.4 You must not use an AI client, or Jobflo Labs, to reach data or systems you are not allowed to reach, or to get around another customer's or a Connected Service's controls.

10. Protected health information

10.1 Tenant Data may include protected health information as HIPAA defines it ("PHI"). You decide whether you are a covered entity or a business associate and use Jobflo Labs in line with that role.

10.2 Do not put PHI into Jobflo Labs until you and we have signed a business associate agreement ("BAA"). Request one at hello@jobflolabs.com. These Terms are not a BAA. If we learn that PHI is in your Tenant without a signed BAA, we may disable the connection that brought it in and return or delete that data.

10.3 Once a BAA is signed, we act as your business associate for the PHI it covers. You choose which data each connection, event listener, and AI client retrieves or receives, and you are responsible for that choice. We use and disclose stored PHI only to provide and secure Jobflo Labs and as the BAA and HIPAA allow, and we use no more of it in our own operations than that purpose requires. We do not sell PHI, use it to train an AI model, use it for advertising, de-identify or aggregate it except as the BAA permits, or use it for any purpose of our own. We store and process PHI only in the United States.

10.4 The signed BAA governs our handling of PHI over anything in these Terms or the Privacy Policy that conflicts with it. We will not withhold your access to PHI covered by a BAA because of a fee dispute, and when this contract ends we return or delete that PHI as the BAA provides. If we believe an instruction from you would violate HIPAA or the BAA, we will tell you and will not follow it.

11. Acceptable use

You must not, and must not let your users or AI clients:

We may suspend your Tenant immediately to stop conduct that we reasonably believe breaks this section or threatens the service or other customers. We limit a suspension to what is needed and notify your administrators promptly.

12. Confidentiality

12.1 Each party will use the other's non-public business, technical, and financial information received under this contract ("Confidential Information") only to perform this contract, protect it with at least reasonable care, and disclose it only to people and providers who need it and are bound by similar duties. Tenant Data is your Confidential Information.

12.2 These duties do not cover information that is or becomes public through no fault of the recipient, was already known to it without a duty of confidence, is independently developed, or is rightfully received from a third party. If the law compels disclosure, the recipient gives prompt notice where the law allows and discloses only what is required.

13. Suspension, ending, and your data

13.1 You may end this contract by canceling your subscription (Section 4.5) or by asking us to close your Tenant.

13.2 We may suspend your Tenant for a breach of Sections 6 through 11, where the law requires it, or to protect the service or other customers. While suspended, your users and AI clients cannot use your Tenant; your administrators can still reach billing and profile settings. We do not change or delete Tenant Data because of a suspension, and we lift it when the cause is resolved.

13.3 We may close your Tenant ("archive" it) when you ask; when a trial ended without a subscription and 30 days have passed; or when your Tenant has been suspended or without a subscription and 60 days have passed since we emailed your administrators that we would archive it. Archiving cancels any subscription still in force and ends access to your Tenant.

13.4 Export and deletion. While your subscription is active you may export the results of queries saved in the product and download files stored there. For 30 days after your Tenant is archived, you may ask us to restore it so you can do the same. After those 30 days, or sooner if your administrator asks us in writing, we delete Tenant Data from our active systems. Copies in backups are deleted as those backups expire, within 30 further days, and stay protected under these Terms until then. On request we confirm deletion in writing. We keep only the account and billing records the law requires, and any copy the law or a legal hold requires us to keep, which we use for no other purpose and delete when that duty ends.

13.5 Sections 4.5 (fees owed), 6, 7, 8, 9, 10, 12, 13.4, 14, 15, 16, and 18 survive the end of this contract, as do the obligations of any signed BAA for as long as it provides.

14. Disclaimers

Jobflo Labs is provided "as is" and "as available". To the fullest extent the law allows, we disclaim every warranty, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy, and any warranty that the service will be uninterrupted or error-free. Nothing an AI client produces, and nothing a Connected Service returns, is our statement. This section does not limit our obligations under Sections 5.4, 5.5, 10, or 13.4 or under any signed BAA.

15. Indemnity

15.1 You will defend, indemnify, and hold harmless Jobflo LLC and its officers, employees, and contractors from any third-party claim, and the resulting losses, costs, and reasonable attorneys' fees, arising from: (a) Tenant Data, including its collection, content, storage, and sharing and any person's rights in it; (b) your or your users' use of Jobflo Labs in breach of these Terms or the law; (c) what you or your users make available to, instruct, or do through an AI client; (d) your Connected Service accounts and your obligations to those services; or (e) your dealings with your own customers, clients, residents, and patients; except to the extent the claim arises from our breach of these Terms, the Privacy Policy, or a BAA, or from our gross negligence or willful misconduct.

15.2 We will defend you against a third-party claim that Jobflo Labs, as we provide it, infringes a United States patent, copyright, or trademark, and pay the damages finally awarded or a settlement we approve. This does not cover a claim arising from Tenant Data, a Connected Service, an AI client, a combination with something we did not provide, or use after we told you to stop. If such a claim arises we may obtain a license, change Jobflo Labs, or end this contract and refund prepaid fees for the unused term. This section is your exclusive remedy for an intellectual-property claim about Jobflo Labs.

15.3 The party seeking defense gives prompt notice of the claim, reasonable cooperation, and control of the defense, and may join with its own counsel at its own expense.

16. Limitation of liability

16.1 To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or business, however caused.

16.2 Each party's total liability arising out of these Terms and Jobflo Labs is limited to the greater of (a) the fees you paid us for Jobflo Labs in the 12 months before the event giving rise to the claim and (b) one hundred US dollars. A signed BAA or order form may set a different cap for what it covers.

16.3 Nothing in these Terms limits liability that the law does not allow to be limited, including for fraud or willful misconduct. Section 16.2 does not limit your payment obligations or your obligations under Section 15.1.

17. Changes to these Terms

We may change these Terms. We publish each new version on this page with its effective date and email your administrators. For a change that materially reduces your rights, we email at least 30 days before it takes effect, unless the law requires a change sooner. Continued use after the effective date accepts the new Terms; if you do not agree, cancel before that date. We keep a record of the version accepted for your organization, and earlier versions are available on request at hello@jobflolabs.com. We will not use a change to these Terms to expand how we use Tenant Data without your written consent. A change to these Terms does not amend a signed BAA, data processing agreement, or order form.

18. General

18.1 Governing law and venue. These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The state and federal courts located in Fresno County, California have exclusive jurisdiction, and each party consents to personal jurisdiction there. Either party may seek temporary injunctive relief in any competent court for a breach of confidentiality or an abuse of the service.

18.2 Entire agreement; order of precedence. These Terms, the Privacy Policy, your Plan, and any signed BAA, order form, data processing agreement, or commission agreement are the entire agreement about Jobflo Labs. If they conflict, a signed BAA governs for PHI, then a signed order form, then a data processing agreement, then these Terms, then the Privacy Policy.

18.3 Assignment. You may not assign this contract without our consent. We may assign it to a successor of our business, which takes it subject to these Terms and any signed BAA.

18.4 Severability; waiver. If a clause is unenforceable, the rest stands. Not enforcing a clause is not a waiver of it.

18.5 Relationship. The parties are independent contractors. There are no third-party beneficiaries of this contract.

18.6 Force majeure. Neither party is liable for a delay or failure caused by circumstances beyond its reasonable control. This does not excuse your duty to pay fees or our duty to give an incident notice under Section 5.5 or a BAA.

18.7 Export controls. You must not use Jobflo Labs in violation of US export-control or sanctions laws.

18.8 Notices. Notices to us go to hello@jobflolabs.com and 683 N Pollasky Ave, Clovis, CA 93612. Notices to you go to the email addresses of your Tenant's administrators. You agree to receive notices by email.
